These Partner Terms & Conditions (“Terms”) constitute a binding agreement between the legal entity or individual registering as a Partner (“Partner”) and Aventir Engine d.o.o. (“Aventir Engine”), a Croatian limited liability company (each a “Party” and collectively the “Parties”).
By accepting these Terms through the Aventir Engine platform, completing onboarding with Aventir Engine’s payment partners (if applicable), or using any Services, Partner agrees to be bound by these Terms. These Terms govern Partner’s authorization to market, sell, and distribute Supplier Offers via Aventir Engine’s platform and distribution channels to end customers (“Customers”).
1. Definitions
- Activity Contract: Legal agreement formed directly between a Customer and the Supplier when a booking is made.
- Offer: Any service, activity, product, bundle, package, or combination thereof created, configured, or published by the Supplier through the Platform. Offers may include physical or digital items, rentals, add-ons, or third-party services. Suppliers may sell Offers directly to Customers or authorize Partners to resell them under Aventir Engine terms.
- Supplier: Business or individual providing activities, services, or products on Aventir Engine. Suppliers can sell directly to Customers or allow Resellers and Agencies to sell on their behalf.
- Supplier Free Plan: Basic platform access without a subscription fee, enabling service listing and Reseller sales.
- AventirPay: Aventir Engine’s payment service that collects, holds, and distributes payments as a custodian while retaining service fees.
- Reseller: Partner authorized to sell Supplier Offers exclusively through AventirPay. Resellers pay Aventir Engine a System Fee and earn commission from Supplier sales.
- Agency: Partner authorized to sell Supplier Offers and their own Offers, permitted to use its own payment system to collect payments directly from Customers. Agencies pay Aventir Engine a System Fee and earn commission from Supplier sales. Agencies must comply with PSD2 Strong Customer Authentication for all direct collections.
- Partner(s): Collective term referring to Resellers and Agencies.
- System Fee: Fee for using Aventir Engine’s core platform services, including infrastructure, transaction handling, and essential operational tools. System Fee does not include Subscription Fees.
- Subscription Fee / Paid Subscription Plan: Optional fee providing access to advanced tools (online store, QR codes, sales widgets, and other premium services).
- Commission Fee: Fee applied when a Reseller, Agency, or AventirPay is involved in a sale. Aventir collects commission from Supplier sales via AventirPay and distributes Partner’s share minus System Fee. When an Agency charges directly, Agency retains commission, and Supplier pays only System Fee to Aventir Engine.
- Completed Transaction: Booking made by a Customer that has been fulfilled by the Supplier. A transaction is completed once the Offer is delivered or 30 days after the scheduled activity date, whichever is earlier.
- Confidential Information: Terms of this Agreement and any confidential commercial, financial, marketing, technical, or other proprietary information of either Party.
- Supplier Content: All descriptive information, images, videos, pricing, availability, and other materials provided by the Supplier for listing Offers.
- Intellectual Property Rights: All IP rights, whether registered or unregistered, including copyrights, trademarks, patents, databases, designs, trade names, and related applications.
- Aventir Network: A section of the Aventir Engine platform where users get access to a global catalog of Suppliers and their Offers. Aventir Network is divided into:
- Offer Catalog: a collection of all Supplier Offers available for booking or resale.
- Partner Catalog: a directory of Partners (Resellers and Agencies) authorized to market and sell Supplier Offers.
- Data Processing: Comply with applicable privacy and data protection laws (including GDPR). Partner acknowledges that Aventir Engine processes personal data only to provide platform services. All Customer data collected via the platform must be handled in accordance with Partner’s own legal obligations. See Aventir Engine Privacy Policy for details.
2. Partner Types & Authorization
2.1 Partner Categories
- Resellers:
- May only resell other Suppliers’ Offers (cannot act as Suppliers themselves)
- Must use AventirPay for all Customer transactions
- Cannot collect payment directly from Customers for any resale
- Earn commission from Suppliers as displayed in the Aventir Network
- Pay System Fee to Aventir Engine for each Completed Transaction
- Agencies:
- May act as both Supplier (for their own Offers) and Partner (for resold Offers)
- May use their own payment processing systems to collect payments directly from Customers
- Earn commission from Suppliers for resold Offers
- Pay System Fee to Aventir Engine for each Completed Transaction
- Must comply with PSD2 Strong Customer Authentication for all direct collections
2.2 Partner Authorization Process
- Partner authorization is established when Partner completes registration, accepts these Terms, selects their Partner type, and completes any required onboarding with payment partners.
- Suppliers authorize specific Offers for resale. Partners accept commission terms by adding Supplier Offers to their stores.
- All invoices and receipts issued to Customers for resold Offers shall be issued in the name and on behalf of the Supplier.
2.3 Merchant of Record
- Aventir Engine is never the merchant of record.
- Resellers: Supplier is the merchant of record.
- Agencies: Agency is the merchant of record for bundles that include their own Offers; Suppliers remain merchant of record for their Offers.
- Aventir Engine does not operate, fulfill, or provide Offers.
3. Subscription Plans & Fees
3.1 Subscription Tiers
- Partner Free Plan: Basic platform access; System Fee applies per Completed Transaction.
- Paid Subscription Plans: Premium features (custom storefronts, widgets, QR codes, analytics). Auto-renew unless canceled.
3.2 Fee Structure
- System Fees, Subscription Fees, Payment Provider Fees, and Commission rates are displayed in the platform dashboard. Changes require 30 days’ notice. System Fee % cannot increase more than 20% YoY without Partner consent.
3.3 Commission Structure
- Set by Suppliers when Offers are authorized for resale. Partners earn commission only on Completed Transactions.
3.4 Payment Processing
- Resellers: AventirPay collects and holds funds; Aventir Engine distributes commission minus System Fee; Supplier receives net proceeds.
- Agencies: Collect payment directly; Agency pays Supplier net proceeds; System Fee is invoiced separately to Agency.
3.5 Subscription Terms
- Accurate registration info required. Free trials convert to paid unless canceled. Paid subscriptions auto-renew. Subscription fees non-refundable.
4. Payment Terms
4.1 Commission Payments
- Resellers: Paid 5th day of each month for prior period’s Completed Transactions. Minimum payout €50.
- Agencies: Retain their commission; System Fee invoiced separately.
4.2 Withholding Payments
- Aventir Engine may withhold payment for breaches, disputes, or fraud, up to 180 days. Written justification required within 5 days.
4.3 Currency
- Fees denominated in Euros (€); conversion costs borne by Partner.
4.4 Disputes
- Payment disputes must be submitted within 30 days.
5. Partner Obligations
5.1 General Obligations
- Comply with laws, maintain licenses, market Offers accurately, provide professional customer service, and maintain records for 3 years.
- Respond to audit requests within 30 days.
- Agencies must ensure PSD2 compliance for direct payments.
- Partners must have valid insurance for any adventure activities they sell (Agencies only).
6. Partner Content & Intellectual Property
- License Aventir Engine to use Partner Content for platform operation, marketing, and Partner Catalog.
- Limited license to use Supplier Content for resale.
- Partner warrants content is accurate, lawful, and does not infringe third-party rights.
7. Supplier Relationships
- Partner is independent contractor.
- No direct solicitation of Suppliers to bypass fees.
- Supplier disputes handled directly with Suppliers. Aventir Engine is not liable.
8. Marketing & Publicity
- Partner may be listed in Partner Catalog.
- Aventir Engine may use Partner name and logos for marketing with notice.
- Marketing must comply with applicable laws.
9. Confidentiality & Data Protection
- Maintain confidentiality of all information received.
- Comply with GDPR / EU data laws; separate DPA applies (aventir.io/legal/dpa).
- Use Customer data solely for transactions; delete or return upon termination.
- Implement adequate security measures.
10. Anti-Circumvention & Non-Solicitation
- Non-solicitation: 6 months post-termination; excludes general marketing.
- Cannot bypass System Fees or redirect Customers/Suppliers outside platform.
11. Term & Termination
- 30 days’ notice for convenience; accrued commissions survive termination.
- Termination for cause allows immediate suspension.
- All licenses and platform access terminate upon termination.
12. Warranties & Disclaimers
- Aventir Engine provides platform “as-is.”
- No guarantee of results.
- Partners are responsible for all Offers, compliance, safety, and Customer satisfaction.
13. Limitation of Liability
- Aventir Engine is solely a technology platform; we do not operate or fulfill any Offers.
- Not liable for any injury, death, VAT, tax, regulatory issue, refund, or Customer dispute.
- Liability capped at greater of €100,000 or total System + Subscription Fees received from Partner in prior 12 months.
- No liability for indirect, punitive, or consequential damages.
- Suppliers or Agencies remain solely responsible for all liability, insurance, and compliance.
14. Indemnification
- Partner indemnifies Aventir Engine against claims from content, breaches, GDPR violations, or disputes.
- Aventir Engine indemnifies Partners only for platform IP infringement under proper use.
15. Force Majeure
- Neither Party liable for events beyond reasonable control. If >60 days, either Party may terminate.
16. General Provisions
- Entire agreement, amendments (System Fee increase limits), assignment rules, severability, waiver, notices, electronic communications.
- Disputes: negotiate → mediation → binding arbitration under Croatian law.
- English version prevails; Supplier Terms apply separately for Agencies acting as Suppliers.
17. Acceptance
- By using Services, Partner agrees to these Terms.
